Advised Maharashtra State Road Development Corporation, in (i) devising a bespoke concession structure for capacity augmentation of an operational road asset which is being operated on a concessioned toll operation basis (ii) advising the project SPV and MSRDC on a ring fenced project financing structure basis such customised concession and then (ii) advising MSRDC in its securitisation and fund raise of around INR 17500 crores (equivalent to approximately USD 2.12 billion) for the Mumbai Pune Expressway and its proposed capacity augmentation. The Mumbai Pune expressway is a major connectivity link in Western India and the transaction involved a unique confluence of project financing coupled with securitisation of cashflows leading to a one of a kind structured financing and concessional construct.

Assisted the Jawaharlal Nehru Port Trust in harmonization of terms of their bidding documents (including model concession agreement) with Major Ports Authorities Act, 2021 as part of JNPT’s endeavour to put in place uniform project contracting structures for various aspects of one India’s premier container handling ports accounting for around 50% of the total containerized cargo volume, across the major ports of India.

Assisted Andhra Pradesh Power Development Company Limited in relation to the appointment of an operation and maintenance contractor (“O&M Contractor”) in relation to the thermal coal-based power project, wherein the following documents were drafted: (i) request of proposal for appointment of O&M Contractor, which listed out the terms and conditions of the O&M Appointment, (ii) the Project O&M Agreement, listing out the operation and maintenance obligations of such O&M Contractor and (iii) the Fuel management agreement listing out the transportation and fuel procurement obligations of O&M Contractor. This was a one of a kind project advisory involving concession for operation and maintenance of an operational asset in the Indian power sector.

Advising Transvolt Mobility Solutions Private Limited and its promoters in the development of an electric based urban transport platform (“Platform”) comprising of atleast 2,500 electric buses across 5 geographies in India. Our role includes, amongst others (i) analysis of the FAME-II subsidies from the Ministry of Heavy Industries, Government of India; (ii) review of the tender documents (including the operator agreements) issued by various authorities in India; (iii) structuring the arrangements to be entered into by the Platform with other stakeholders, such as the arrangements with the original equipment manufacturers, charging infrastructure providers, etc.

Advising Scatec, one of the leading renewable energy companies based in Norway, in its evaluation for the acquisition of various under-construction hydro power projects in North-East India, aggregating to more than 2000 MW. Our role involves, amongst others, in the review and analysis of concession agreements entered into by the target entities with the state governments for the development of hydro power projects on a build own operate and transfer basis; (ii) power purchase arrangements, etc.
